Welcome to NexPlumb! These Terms of Service ("Terms") govern your use of the NexPlumb website, mobile application, and services (collectively, the "Platform"). Please read these Terms carefully before using our Platform.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

1. Platform Overview

NexPlumb is a platform that connects homeowners and property managers ("Clients") with licensed, qualified plumbing professionals ("Plumbers") for plumbing services. NexPlumb facilitates these connections but is not itself a provider of plumbing services.

2. Account Registration

To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. User Responsibilities

3.1 Client Responsibilities

As a Client, you agree to:

• Provide accurate information about your plumbing needs and property
• Be present at the property during scheduled services or ensure authorized access
• Pay for services as agreed upon with the Plumber
• Communicate professionally with Plumbers
• Provide fair and honest reviews of services received

3.2 Plumber Responsibilities

As a Plumber, you agree to:

• Maintain all required licenses, permits, and insurance for your services
• Provide accurate information about your qualifications, experience, and services
• Perform services professionally and in accordance with industry standards
• Arrive at scheduled appointments on time
• Communicate clearly about services, pricing, and timelines
• Comply with all applicable laws and regulations

4. Service Agreements

Any agreement for plumbing services is between the Client and the Plumber. NexPlumb is not a party to such agreements and is not responsible for the actions or inactions of Clients or Plumbers.

We recommend that all service terms, including scope of work, pricing, payment terms, and warranties, be clearly documented between Clients and Plumbers.

5. Payments

NexPlumb may facilitate payments between Clients and Plumbers through our Platform. By using our payment services, you agree to our payment terms and to pay all applicable fees.

Plumbers agree to pay NexPlumb a service fee for connections facilitated through our Platform, as detailed in the Plumber Agreement.

All payment disputes should first be addressed directly between the Client and Plumber. If a resolution cannot be reached, you may contact NexPlumb for assistance, but we do not guarantee resolution of payment disputes.

6. Ratings and Reviews

Our Platform allows users to submit ratings and reviews. All ratings and reviews must be honest, accurate, and based on actual experiences. We prohibit:

• False or misleading reviews
• Reviews in exchange for compensation
• Reviews by individuals with conflicts of interest
• Abusive, offensive, or inappropriate content in reviews

NexPlumb reserves the right to remove any review that violates these guidelines or our community standards.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws or regulations
• Circumventing, disabling, or interfering with platform features
• Using the Platform to transmit malware or harmful code
• Attempting to gain unauthorized access to other users' accounts
• Harassing, abusing, or threatening other users
• Impersonating NexPlumb or another person or entity
• Using the Platform for fraudulent purposes
• Circumventing the Platform to avoid service fees

8. Intellectual Property

All content on the Platform, including text, graphics, logos, icons, images, audio clips, and software, is the property of NexPlumb or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, distribute, modify, or create derivative works from any content from our Platform without our express written permission.

9. Limitation of Liability

To the maximum extent permitted by law, NexPlumb and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, resulting from your use of the Platform.

NexPlumb does not guarantee the quality, safety, or legality of plumbing services provided by Plumbers, the truth or accuracy of user content, or that Plumbers will perform services as described.

10. Indemnification

You agree to indemnify, defend, and hold harmless NexPlumb and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another.

11. Modifications to Terms

We may modify these Terms at any time by posting the revised Terms on our Platform. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

12. Termination

We may terminate or suspend your account and access to the Platform at any time, without prior notice or liability, for any reason, including if you violate these Terms.

Upon termination, your right to use the Platform will immediately cease, and you must cease all use of the Platform and delete any copies of Platform materials in your possession.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

14. Dispute Resolution

Any dispute arising from or relating to these Terms or your use of the Platform shall first be resolved through good-faith negotiations. If such negotiations fail, the dispute will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
